The SBA rigorously reviews closing documentation as part of the guaranty purchase process. Denials often occur if the lender failed to properly close the loan in accordance with the Authorization. Examples include missing personal guaranties from 20%+ owners, failure to properly perfect the lender's lien on collateral (e.g., missing UCC filings, unrecorded mortgages), material deviations from the SBA Loan Authorization, or the absence of key legal documents such as the promissory note.
A lender submits a UPP, but a 30% owner's personal guaranty is missing, and a required mortgage on real estate collateral was never recorded. The SBA would likely deny the guaranty due to these critical origination and closing failures.
