Is there a late fee on SBA loan payments?

Yes. Your lender may charge a late payment fee of up to 5% of the regular loan payment when you are more than 10 days delinquent on a regularly scheduled payment. This fee belongs to the lender.

Is there a prepayment penalty on an SBA 7(a) loan?

Lenders cannot charge prepayment fees. For loans with maturities of 15 years or longer, SBA charges a Subsidy Recoupment Fee when you voluntarily prepay more than 25% of the loan in any 1 year during the first 3 years after first disbursement. The fee is 5% of the prepayment in year one, 3% in year two, and 1% in year three. A prepayment caused by death is treated as involuntary.

Can I rent out part of the building I buy with an SBA loan?

Yes, within limits. For an existing building, your business must occupy 51% of the rentable property and may lease up to 49% to third parties. For new construction, you must occupy 60%, may permanently lease up to 20%, and may temporarily lease another 20% with the intention of using some of it within 3 years and all of it within 10 years.

Can I lease space in my SBA-financed building to a marijuana dispensary?

No. During the life of the loan, real estate pledged as collateral, or where the business operates, may not be leased to or occupied by any business you know is engaged in activity that is illegal under federal, state, or local law. The SOP names a marijuana dispensary as an example. Your lender must notify SBA counsel if this happens.

What happens to my record if I default on my SBA loan?

If SBA suffers a loss, the names of the business, the guarantors, and any associates that control it will be referred for listing in the CAIVRS database. That listing may affect eligibility for future financial assistance from SBA or other federal agencies for businesses owned or controlled by those individuals or entities.

Can someone else take over my SBA loan if I sell the business?

Loan assumptions are possible under SBA's servicing rules. SBA does not require a new guaranty fee for an assumption. The lender may charge an assumption fee that is reasonable for the services provided, cannot exceed 1 percent of the principal balance outstanding at the time of assumption, and must be consistent with its fee on conventional loans. The seller or the assumptor may pay it.

Can my SBA loan interest rate change after closing?

On a variable-rate loan, yes, at the frequency stated in your Note, and no more often than monthly for Standard and 7(a) Small loans. The spread over the base rate cannot change during the life of the loan without your written agreement. Lenders may delay the first adjustment, sometimes for as long as 5 years.

Can I refinance my seller note into an SBA loan later?

Yes, after a seasoning period. The seller-financed note must have been in place and current, off standby, for at least 24 months following the change of ownership. The refinance must also cut your installment payment by at least 10 percent compared with the existing payment.

Can an SBA loan refinance my merchant cash advance?

No. Merchant cash advances and factoring agreements are ineligible for refinancing with a 7(a) loan. Eligible refinance targets include balloon or demand notes, business credit card debt, over-collateralized debt, lines of credit the original lender will not renew, and debt with terms that no longer fit the financing purpose.

Can my interest rate terms change after the loan is disbursed?

On a variable-rate loan, the lender may change the base rate or the spread after disbursement only if the new terms use a method permitted when the loan was approved and are consistent with the interest rate regulations at that time. The lender must obtain your written agreement and report the change to SBA.

What happens if my short-term SBA line gets extended past 12 months?

If the original maturity was 12 months or less and the new maturity exceeds 12 months, an additional guaranty fee will be due. A CAPLine renewal is an extension of maturity, so the loan number stays the same, and the total revolving repayment period may not exceed 120 months.

What do I have to certify before my loan funds are released?

Among other things: you received the E-Tran Terms and Conditions; there has been no adverse change in your financial condition since the application was signed; no principal holding at least 50 percent ownership is more than 60 days delinquent on child support; and you are current on all federal, state, and local taxes.

What am I restricted from doing while I have an SBA loan?

Without the lender's prior written consent, you may not change the ownership structure of the business, make distributions of company assets that adversely affect its financial condition, or sell, lease, pledge, or encumber business property outside the ordinary course of business.

How long do I have to get my business licenses after the loan closes?

The lender must obtain evidence of all licenses required to operate the business within no more than 90 days after final disbursement. The loan cannot be sold into the secondary market until all required licenses are obtained.

Will my SBA loan show up on credit reports?

Yes. Under the Debt Collection Improvement Act of 1996, lenders are required to report information to the appropriate credit reporting agencies whenever they extend credit via an SBA loan, and they continue reporting servicing, liquidation, and charge-off activity through the life of the loan.

How are my SBA loan payments applied?

The lender applies each installment first to interest accrued to the day the payment is received, then to bring principal current, then to any late fees, and applies any remaining balance to reduce principal.

Can my lender escrow my real estate taxes and insurance?

Yes, if you both agree. The escrow may not collect more than 105% of the current year's taxes and insurance. The account must be FDIC-insured and pay you interest, with annual statements. When the account ends, remaining funds must be returned to you within 15 business days.

Do I have to prove how I spent the loan money?

Yes. The lender documents each disbursement, using SBA Form 1050 or an equivalent at first disbursement, with evidence such as joint payee checks, paid receipts or invoices, or electronic transfer records with the invoice. Working capital spent on normal operating expenses like payroll and utilities does not need itemized documentation.

Can I increase my SBA loan after approval?

Loan increases must be approved by SBA and stay within program maximums. If the increase exceeds 20% of the original amount or comes more than 18 months after approval, the lender must show the purpose matches the original loan and your cash flow supports the higher payment. Fees use the rates in effect when the loan was originally approved.

Can I change the ownership of my company right after the loan funds?

On 504 loans, CDCs may not unilaterally approve any adjustment to or change in the ownership of a borrower, including a change in percentage of ownership, for 12 months after final disbursement. Plan any ownership moves around that window and get the required approvals.

What counts as being current on my SBA loan?

For 7(a) loans, current means no repayment is over 29 days late, measured from the payment due date on the records of the entity servicing the loan.

Can I invest in the pool that holds my own 504 loan?

No. Neither a borrower nor an associate of the borrower may purchase an interest in a debenture pool in which the debenture that funded its 504 loan has been placed.

What ongoing environmental duties come with the indemnification agreement?

You must immediately notify your lender of any reportable release, contamination or imminent threat of it, government orders or fines, expired or revoked environmental permits, and environmental claims. Gas station owners must register for and participate in any available federal, state, or local petroleum storage tank reimbursement fund programs, even voluntary ones. You must also list the lender as loss payee on environmental insurance.

How does SBA count the jobs my 504 project creates?

A job created is a full-time equivalent position, defined as 40 productive hours per week, created within 2 years of financing. Part-time roles convert proportionally: an employee working 15 hours per week counts as 0.375 FTE based on a 2,080-hour work year. A retained job counts only when it would otherwise be lost to the community.

Will the SBA verify the seller's financial numbers when I buy a business?

Yes. For a change of ownership, the lender must verify the seller's financial data against tax records, including a selling sole proprietor's Schedule C. When you buy a division or segment of a business, the lender may use alternatives such as CPA-prepared or reviewed financial statements, sales tax payment records, transient occupancy tax, or credit reporting services.

Can I use a real estate holding company in my SBA deal?

Yes, through the Eligible Passive Company (EPC) rule. The EPC holds the real estate and leases it directly to your operating company, which must be a co-borrower or guarantor. The lease term must at least equal the loan term. Rent cannot exceed the loan payment plus the EPC's direct expenses of holding the property, such as maintenance, utilities, insurance, and property taxes.

Can my holding company buy the business itself with an SBA loan?

No. An EPC may not use loan proceeds to acquire a business, acquire stock in a business, or buy intangible assets of a business. The exception is financing a change of ownership between existing owners of the EPC, allowed only when the selling owners have held the real estate or personal property for at least 36 months.

Can employees buy the company they work for with an SBA loan?

Yes. SBA may guarantee a 7(a) loan to a qualified employee trust (ESOP) to purchase a controlling interest of at least 51 percent in the employer small business. SBA may also guarantee a loan to the business so it can lend to the ESOP for the same purpose. ESOP members are exempt from personal guaranty requirements.

Can a cooperative buy a business with an SBA loan?

Yes, for 7(a) loans. SBA may guarantee a loan to a cooperative to purchase a controlling interest of 51% or more in the employer small business. The loan may include the transaction costs of that purchase. SBA excludes the costs of setting up the cooperative itself. At least one individual or entity must guarantee the loan.

Can the seller stay on after I buy the business with an SBA loan?

In a complete purchase, the seller may not remain as an officer, director, stockholder, or employee. You may contract with the seller as a consultant for up to 12 months, including any extensions. The seller may stay involved when they keep part of their ownership, or when an ESOP or cooperative buys a controlling interest.

Are seller earnouts allowed in an SBA-financed business purchase?

No, seller earnouts are prohibited. Buyer rebates based on business performance are allowed because the benefit flows to you. If you receive rebate funds, they should first pay down the 7(a) loan to a level that avoids a subsidy recoupment fee, and any remaining funds may be used for business purposes.

Do I need a business valuation to buy a business with an SBA loan?

Yes. SBA calls an accurate business valuation the key component of any change-of-ownership loan analysis. The valuation excludes real estate, which gets its own appraisal. It helps you confirm the seller's asking price is supported by an independent qualified source, and your loan proceeds for the purchase cannot exceed the valuation amount.

When is an independent business valuation required for my purchase?

When the total amount being financed, minus the appraised value of real estate and equipment, exceeds $250,000, the lender must obtain an independent valuation from a Qualified Source. The same rule applies whenever the buyer and seller have a close relationship, such as family members or existing co-owners. Below that threshold, the lender may perform its own valuation.

Who orders and pays for the business valuation on an SBA deal?

The lender must request the valuation, and it must be prepared for the lender. A valuation prepared for you or for the seller cannot be used. The cost may be passed on to you. The report must state the conclusion of value, the preparer's qualifications, and carry their signed certification.

What happens if the business valuation comes in lower than my purchase price?

SBA caps the loan proceeds used for the purchase at the business valuation amount. If the valuation is below the sales agreement price, any financed capital used to cover the gap, beyond the 7(a) loan and your equity injection, must be subordinate to the 7(a) loan.

Can an SBA loan finance goodwill and other intangible assets?

Yes. A 7(a) loan may finance a change of ownership that includes intangible assets such as goodwill, customer lists, patents, copyrights, trademarks, and agreements not to compete, as long as an independent business valuation meeting SBA requirements supports the price. Financing for intangible assets carries a maximum term of 10 years.

What financial records does the seller have to provide for my SBA loan?

The seller must provide financial statements for the last 3 complete fiscal years, or for all years in business if fewer, plus interim statements no older than 120 days. The seller must date and sign or certify them. If statements are unavailable, the seller must provide another way to verify revenue, and the lender must explain how it verified it.

Will the seller's financials be checked against IRS records?

Yes. The lender must obtain the financial information the valuation preparer relied on and verify it against the seller's IRS tax transcripts to confirm accuracy. This protects you from buying based on inflated numbers.

Does the lender have to visit the business I'm buying?

Yes. For complete changes of ownership and complete partner buyouts, the lender must conduct a site visit of the business being acquired and document the visit date and its comments in the loan file.

Can I use an SBA loan to buy out my business partner?

Yes. One or more current owners may buy the entire interest of another owner, leaving the remaining owners with 100% ownership. The business and the buying owners must be Co-Borrowers, and both must sign the Note jointly and severally. The business may also redeem an owner's interest directly, with the business as Borrower.

What are the rules if SBA financing covers more than 90% of a partner buyout?

Two tests apply. The remaining owners must certify they have actively participated in operations and held the same or growing ownership for at least the past 24 months. The balance sheets for the most recent fiscal year and current quarter must show debt-to-worth of 9:1 or better. Failing either test, the remaining owners must contribute cash, up to 10% of the purchase price.

Can I buy just a portion of a business with an SBA loan?

Yes. Partial changes of ownership are allowed when at least one original owner remains after the sale. Every new direct or indirect owner, even someone acquiring just 1%, must be a Co-Borrower along with the Operating Company. Multi-step deals that route the purchase through a newly formed holding entity owned by old and new owners together are ineligible.

Does a seller who keeps a small stake have to guarantee my SBA loan?

Yes. A selling owner who receives loan proceeds, stays on as an owner, and holds less than 20% after the sale must guarantee the full loan amount. The guaranty lasts for the later of 2 years after final disbursement or until the loan has been current for 12 consecutive months.

Can I assume the seller's existing SBA loan when I buy the business?

In a complete change of ownership, the option to assume the existing SBA debt should be offered to you as the buyer. Paying off the seller's debt as part of the purchase is treated as part of the acquisition rather than as a debt refinance.

Do I need a down payment if my existing company buys a similar business nearby?

Maybe no minimum applies. When an existing business acquires a business in the same 6-digit NAICS code, with identical ownership, in the same geographic area, and they are Co-Borrowers, SBA treats it as a business expansion and requires no minimum equity injection. Same geographic area means close enough for management to exercise similar daily control over both locations.

Do I need a business valuation to get an SBA loan for an acquisition?

Yes. Determining the value of the business is the key component of any change-of-ownership loan analysis. The valuation helps you confirm that the seller's asking price is supported by an independent Qualified Source. Real estate is valued separately through a real estate appraisal.

Who orders the business valuation, me or the bank?

The bank. The valuation must be requested by and prepared for the lender. The lender may not use a valuation prepared for you or for the seller. The cost of the valuation may be passed on to you.

When is an independent business valuation required?

When the amount being financed, including any 7(a), 504, seller, or other financing, minus the appraised value of real estate and equipment, is greater than $250,000, or when the buyer and seller have a close relationship. At $250,000 or less, the lender may perform its own valuation unless its internal policies require an independent one.

What changes if I'm buying the business from a family member?

Transactions between family members or existing owners count as close-relationship deals. Your lender must obtain an independent business valuation from a Qualified Source, and any commercial real estate securing the loan requires a full USPAP appraisal rather than a simpler evaluation.

What is a Special Purpose Property and how does it affect my purchase?

A limited-market property with a unique physical design, special construction materials, or a layout that restricts its use to what it was built for. If your financing minus real estate and equipment value exceeds $250,000, the valuation must come from a Certified General Real Property Appraiser who completed at least four going-concern appraisals of equivalent special-use property within the last 36 months.
