A seller note structured as 'full standby' (or 'fully subordinated') means the seller agrees to postpone all principal and interest payments until the SBA 7(a) loan is satisfied. This is a critical component when the seller note is used to meet the buyer's equity injection requirement, ensuring the capital remains 'at risk' for the business and senior SBA debt has priority.
You acquire a business with a 10-year SBA loan and a $75,000 seller note on full standby. The seller cannot receive any principal payments for at least 10 years, until your SBA loan is fully repaid, unless your lender provides specific, written permission.
