Passive income that disqualifies a business typically arises from owning real estate, leasing property, or investments, where the business owners are not actively involved in its operation.
The SBA requires that businesses be "for-profit" and "operating." Businesses primarily engaged in generating passive income, such as owning and leasing commercial real estate (unless primarily owner-occupied for their active business), or those primarily deriving income from investment activities, are generally ineligible. Active involvement in the business's operations is key.
A business owns a strip mall and collects rent from its tenants, with minimal management activity beyond property maintenance. This would likely be considered a passive business and ineligible. However, a business that manages its own properties and provides significant tenant services might be eligible.

Lenders must determine if the applicant business genuinely operates an active trade or business. They analyze revenue streams, operational expenses, and owner involvement to distinguish between active operating businesses and passive investment vehicles.
