SBA loan basics
Short answer
The SBA does not specify a minimum operating period, but the loan is structured with repayment terms based on the business's long-term viability. The borrower's commitment is expected.
While there isn't a specific rule stating you must operate the business for a minimum number of years, the SBA's primary concern is that the loan proceeds are used for a legitimate, long-term business purpose and that the business will generate sufficient cash flow to repay the loan over its full term. Early sale or cessation of operations without full repayment would trigger default provisions and personal guaranty obligations.
A borrower acquires a manufacturing business with a 10-year SBA loan. If they sell the business after two years, they are responsible for repaying the remaining loan balance (possibly with a prepayment penalty) and must seek lender approval for any change in ownership.
Insider move
Lenders assess the borrower's long-term commitment and the business's sustainability. They want assurance that the borrower intends to operate the business for its economic life to ensure full repayment and avoid early loan payoff or default implications.
